Business Terms Version: 1.6 This English version is provided for convenience. The German version controls. 1. Scope and parties These terms govern Doli business plans between the business named in the acceptance record ("Customer") and V-IZ Video-Integrationszentrum, sole proprietor Fuat Karacocuk, operating under the Doli product name, S 3, 2A, 68161 Mannheim, Germany. Consumer agreements are outside scope. New business plans are concluded exclusively through the Doli website. Authorized personnel use their own Doli accounts and may join the business account's shared usage through pairing. 2. Eligibility and authority Account owners, representatives, and authorized users must be at least 18. The representative confirms authority to bind the Customer and accept the DPA, these terms, and privacy notices. The Customer protects access and is responsible for use of its authorized devices. 3. Contract documents and language priority The contract includes these terms, the DPA and Annexes, the displayed web terms and, where applicable, the pay-as-you-go addendum, and privacy notices. Earlier app-store purchases remain governed by the documents in their acceptance record. German controls; English is for convenience. Mandatory law remains unaffected. 4. Acceptance and activation A person authorized to represent the Customer accepts the documents on the Doli website. The displayed web terms and selected plan govern contract formation and technical activation. The representative need not own the business. Confirmation alone, a link or a return from the payment provider does not create technical access. Doli verifies the matching setup or payment evidence server-side and associates it with the accepted contract. A personalized contract copy is provided after activation. 5. Service and technical limits Doli supplies the selected interpretation, translation, and explanation functions subject to available devices, networks, providers, regions, and allowances. Outputs may be inaccurate, incomplete, or delayed. Doli does not guarantee uninterrupted, error-free, or worldwide availability. 6. Permitted business use The Customer ensures lawful basis, notices, required consents/authority, and safeguards. Use is limited to server-enabled countries and authorized users. The Customer must not bypass safety controls or provider terms. 7. Excluded and regulated use Doli is not intended for emergencies, clinical practice, diagnosis, treatment, medical/legal/financial advice, safety-critical instructions, or the sole basis of consequential decisions. Doli makes no HIPAA, FERPA, regulated-finance, biometric, or child-directed commitment. Unlawful, abusive, or provider-prohibited content is forbidden. A Doli/provider safety message is not a conversation participant's statement. 8. Prices and payment The displayed plan and, where applicable, the pay-as-you-go addendum determine price, billing period and payment. Business prices are net of any applicable VAT. New business agreements are concluded on the website. Earlier Apple or Google purchases retain their payment and refund routes. Doli devices are not currently for sale. Mandatory tax and payment law remains unaffected. 9. Term, renewal, and termination The contract starts under the applicable formation terms and follows the selected plan. Cancellation stops renewal but may not end the paid period. A material document update may require reacceptance. Necessary retention, deletion, and evidence duties survive termination. 10. Warranties and liability Statutory warranty and liability rules apply. Doli does not exclude liability where exclusion is mandatorily unlawful, including intent, gross negligence, or injury to life, body, or health. Any permitted limitation for simple negligence applies only to essential duties and foreseeable damage. 11. Privacy, confidentiality, and evidence The DPA governs Customer Data; Doli's privacy notice governs Doli's controller processing. Personalized contract copies are private. The Customer may use its copy for evidence, audit, and legal purposes and must protect its personal data. 12. Amendments and final terms Necessary changes use reasonable notice and a new version; reacceptance may be required. German law applies where permitted. Mannheim is the venue only where validly agreed. Mandatory local rights prevail; invalidity of one term does not affect the remainder. Terms and Conditions for Business Web Purchases Version: 1.5 This English version is provided for convenience. The German version controls. 1. Provider and scope The provider of the Doli service and seller of the digital product is: V-IZ Video-Integrationszentrum, sole proprietor Fuat Karacocuk, operating under the Doli product name S 3, 2A, 68161 Mannheim, Germany; email: info@doliapp.de; phone: +49 1523 2756171; VAT ID: DE446446262 ("Doli"). These Terms apply exclusively to businesses that purchase a Doli business plan on the Doli website or use such a web contract. Doli concludes no contracts with consumers through the website; personal customers buy Doli subscriptions only in the app. A business's different terms apply only if Doli expressly agrees to them. These Terms govern only a web purchase through Stripe Managed Payments. For earlier business-plan purchases through Apple App Store or Google Play, the Store terms in force at the time remain unchanged. The Business Terms, Data Processing Agreement with Annexes ("DPA"), Addendum for Web Purchases with Stripe Managed Payments and, for the usage plan, the pay-as-you-go terms identified at purchase also apply. 2. Doli service Depending on the selected feature, Doli supports spoken interpretation, translation of chat messages, explanation of letters and documents, and translated subtitles. Spoken interpretation is for conversations near the device being used. Doli is not a general voice assistant or a professionally certified translation, emergency, legal, medical, or advisory service. Automated translations may be incomplete or incorrect. Doli or a technical provider may refuse or interrupt a translation or issue its own safety message. Such a system message is not a statement made by a conversation participant. A supported device, an internet connection, microphone access, and an available language are required. Maintenance, network issues, or provider outages may temporarily restrict use. 3. Account and access Users of the live interpreting function must be at least 18 years old. Doli is not directed to people under 18 and must not be made available to them. A Doli account is required. The website and app use the same authenticated Doli account and the same technical Supabase user identifier. Sign-in uses a time-limited one-time code or, where the respective sign-in route is enabled and available, Apple or Google. Choosing a sign-in provider does not make that provider the Doli service provider or a party to the web purchase contract. Only the authorised person may use a one-time code. Users and businesses must protect signed-in devices and promptly report loss or misuse. For business plans, the subscribing account manages the plan and allowance. Employees and other authorised users use their own Doli accounts and may access the subscribing account's shared allowance through authorised paired devices. The subscribing account's credentials are not shared. 4. Permitted use Doli may be used only lawfully and with due regard for the rights of conversation participants. Misuse, bypassing allowances or security measures, automated bulk requests, interference with infrastructure, and using Doli to plan or carry out unlawful acts are prohibited. The user informs conversation participants that speech is processed automatically where the situation and law require it. Content that cannot lawfully be transmitted must not be processed. Doli must not be used in clinical practice, for diagnosis or treatment, for medical advice, in emergencies, for safety-critical instructions, for legal or financial advice, or as the basis of another consequential decision. These prohibitions apply even where a qualified person is present. A refusal, interruption, or safety message must not be bypassed, suppressed, or presented as a statement by a conversation partner. If Doli becomes aware of a material or repeated violation, Doli may proportionately restrict the affected access or terminate for cause, subject to mandatory legal requirements. 5. Plans and minute allowances The services, prices, billing periods, and renewal terms displayed immediately before the web purchase and in the final Link Checkout govern. The pay-as-you-go terms also apply to the usage plan. Where a plan includes a time-limited minute allowance, unused minutes expire at the end of the relevant period unless the specific offer states otherwise. A free allowance creates no entitlement to unchanged permanent availability. Changes to paid digital services are made only within statutory requirements. 6. Contract formation and transaction roles Before a paid web purchase, the signed-in user accepts these Terms and acknowledges having read the Privacy Notice. That confirmation alone is not an order or payment. By activating the checkout button expressly indicating a payment obligation, the customer makes a binding offer for the displayed plan. Doli accepts that offer when Link SMP confirms the successful order and payment on Doli's behalf, at the latest by providing the paid service. The subsequent server-side verification and attribution of purchase evidence serves to provision the allowance technically. It does not retrospectively postpone a confirmed contract or the start of statutory periods. A browser redirect alone is not payment evidence. If access is not enabled despite a confirmed payment, the customer can contact info@doliapp.de. Doli will promptly investigate; statutory rights to performance, termination and refunds remain unaffected. Sold through Link, LLC ("Link SMP") provides Stripe Managed Payments and facilitates the web sale transaction as merchant of record on Doli's behalf. Doli remains the seller of the digital product and responsible for delivery, product characteristics, and product-related support. Link SMP is not the seller of the Doli service. The [Sold Through Link Terms and Purchase Terms](https://link.com/terms#sold-through-link-terms) incorporated at checkout also apply to order placement, payment methods and charges, transaction receipts and invoices, transaction support, cancellation, and refunds. Payment to Link SMP or the relevant Stripe affiliate satisfies the payment obligation for the Order. Link may control the payment methods offered at checkout and may decline, cancel, or refund a transaction under its terms. Link calculates, collects, reports, or remits indirect taxes only to the extent provided by the applicable Managed Payments terms and the law of the relevant country. No worldwide tax coverage is promised. 7. Subscription, renewal, and cancellation The web subscription renews in accordance with the plan shown before purchase until effectively cancelled or otherwise ended. Link uses the payment method authorised for the initial purchase for later subscription payments under its terms. A paid renewal continues the plan for the new period; it is not another initial contract formation. A Link account is required to manage a subscription through Link. Depending on the flow offered by Link, checkout may initially be completed without signing in to Link. Web subscriptions can be managed and cancelled through the Stripe customer portal opened for the authenticated account or through Link's order management. Ordinary cancellation stops the next renewal but does not necessarily end the already paid period. Deleting the Doli app or Doli account does not automatically cancel the Doli web subscription. This differs from a request to Link to delete Managed Payments data and the associated Link account: Stripe describes cancellation of subscriptions sold through Managed Payments as part of that process. Refunds are assessed under the applicable Link terms and mandatory law; these Terms promise no automatic refund. To help prevent unintended duplicate subscriptions, Doli may temporarily block a new web or app purchase where the server detects an existing active paid Doli entitlement or an unresolved purchase. This is a distribution and security rule. It does not guarantee that Doli detects every external Store purchase completely or immediately, and it neither cancels nor refunds an existing subscription. Users must also check existing subscriptions with the relevant payment or Store provider. 8. Business customers For business plans, the Business Terms, separate DPA with Annexes, and Web Purchase Addendum identified at purchase also apply. Before checkout, an owner of the business or a duly authorised representative confirms the company details, their authority, and the displayed DPA. Doli binds the provisional acceptance server-side to the authenticated user, company, selected role and plan, and the versions and hashes of the documents. Provisional acceptance alone creates no paid business subscription. Section 6 governs contract formation. Doli verifies the corresponding payment or invoice evidence server-side and creates the technical contract and entitlement record exactly once. Doli then creates the personalised contract copy, makes it available privately, and sends it to the verified contract email address. Renewal creates no new DPA acceptance; a material document change may require reacceptance. 9. Availability and changes Doli endeavours to provide a reliable service but does not promise uninterrupted availability. Necessary maintenance, security measures, technical limits, and outages outside Doli's control may cause interruptions. Security and feature updates may be necessary. Material changes to a digital service supplied continuously are made only for a valid reason, without additional cost, and with the information and rights required by law. 10. Restriction and termination Where there is a material or repeated breach of these Terms, including prohibited clinical, advisory, emergency, or safety-critical use, bypassing safeguards, a security risk, or a legal obligation, Doli may proportionately restrict access. Where legally required and reasonable, Doli gives prior notice and an opportunity to cure. Termination for cause remains available. Missing, open, withdrawn, or reversed payment or entitlement evidence may block access to paid services. Account deletion and subscription termination are separate processes; statutory retention duties remain unaffected. 11. Defects and liability Statutory rights for defects in digital products apply. Doli's liability is unlimited for intent and gross negligence, injury to life, body, or health, under product liability law, and in other cases where limitation is prohibited by law. For a slightly negligent breach of an essential contractual duty, liability is limited to the damage typically foreseeable when the contract was formed. Liability for other slight negligence is excluded. These limitations apply correspondingly to persons used by Doli to perform its obligations. 12. Governing law German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. 13. Contact and changes to these Terms Questions about the Doli service may be sent to info@doliapp.de. The support routes identified in the Link terms are also available for payment, Order, cancellation, and refund questions. Changes to these Terms do not apply retroactively and do not affect statutory rights that have already arisen. The version governing a new purchase is displayed before purchase and bound server-side by version and hash. Addendum for Web Purchases with Stripe Managed Payments Version: 1.0 This English version is provided for convenience. The German version controls. 1. Parties, scope, and priority This Addendum applies only to a Doli business plan purchased on the Doli website through Stripe Managed Payments by the business named in the electronic acceptance record ("Customer"). It supplements the Business Terms and the Data Processing Agreement with its Annexes ("DPA") identified in the acceptance record between the Customer and Fuat Karacocuk, operating under the Doli product name S 3, 2A, 68161 Mannheim, Germany Email: info@doliapp.de VAT ID: DE446446262 ("Doli"). For this web purchase, this Addendum prevails only over provisions that assume a purchase through Apple App Store or Google Play, activation by RevenueCat, or processing by an app store. This Addendum does not apply to native purchases. The Business Terms, DPA, and Annexes otherwise remain unchanged. 2. Representative, accounts, and shared allowance The web purchase may be made by the owner of the business or a person authorised to legally bind the Customer and accept the contract documents on its behalf. The purchase is not limited to sole proprietors. The subscribing Doli account manages the plan and allowance. Employees and other authorised users use their own Doli accounts. Through device pairing, authorised paired devices may access the shared allowance of the subscribing account; the subscribing account's credentials are not shared. Pairing alone does not make a user the purchaser, a representative, or a contracting party. 3. Acceptance and technical provisioning Before the paid checkout opens, the representative confirms the displayed DPA and their authority. Doli binds this provisional confirmation server-side to the exact authenticated user, the identified Customer and business profile, the selected role and plan, and the versions and hashes of the displayed contract documents. The confirmation alone creates no active paid contract, business entitlement, or allowance. By activating the checkout button expressly indicating a payment obligation, the Customer makes a binding offer for the displayed business plan and the identified contract documents. Doli accepts it when Link SMP confirms the successful order and payment on Doli's behalf, at the latest by providing the paid service. The previously confirmed DPA thereby becomes part of the business contract. For technical provisioning, Doli verifies the corresponding payment or invoice evidence server-side against the exact purchase authorisation and creates the contract and entitlement record once. A browser redirect, an open or failed payment, or unbound evidence is insufficient for that provisioning. A technical attribution problem does not undo a confirmed order or postpone its legal start. Doli promptly investigates such problems; the Customer's statutory claims remain unaffected. A later paid renewal continues the selected plan but does not create a new DPA acceptance or another initial contract activation. A separate reacceptance may still be required if the contract documents materially change. 4. Sale transaction and Doli service Sold through Link, LLC ("Link SMP") provides Stripe Managed Payments and facilitates the selected web sale transaction as merchant of record on behalf of Doli as seller and provider of the digital product. The [Sold Through Link Terms and Purchase Terms](https://link.com/terms#sold-through-link-terms) incorporated at checkout and applicable to the transaction govern order placement, payment methods and charges, transaction receipts and invoices, transaction support, and the management of renewal, cancellation, and refunds. Link SMP or a Stripe affiliate may decline, cancel, or refund a transaction in accordance with those terms. This Addendum promises no automatic cancellation or refund. Doli remains responsible for delivery, product functionality, product-related support, and its other Doli service obligations. Payment to Link SMP or the relevant affiliate satisfies the Customer's payment obligation for the Order. The price, billing period, and renewal status displayed at checkout control the transaction; mandatory law remains unaffected. 5. Taxes, tax identification number, and invoices Link SMP or Stripe affiliates calculate, collect, report, and remit indirect taxes only to the extent provided by the applicable Stripe Managed Payments documentation and the law of the relevant country. Where Link does not assume tax responsibility, the duties allocated by law remain unaffected; Link may issue an invoice in Doli's name. A tax identification number is not required for provisional DPA confirmation. Where Link Checkout provides a voluntary field for it, the Customer may optionally provide its tax identification number to Link there; Link may request tax information under its terms for calculating taxes. Providing it alone does not mean that Link has successfully validated it or that reverse charge or another tax exemption applies. The tax treatment displayed at checkout and on the invoice, together with mandatory tax law, controls. A Link receipt or invoice is separate from Doli's contract copy. 6. Contract copy and DPA After the one-time paid activation, Doli creates the personalised, immutable contract copy containing Customer and representative details, role selection, document versions and hashes, acceptance and activation time, and a non-sensitive purchase reference. Doli makes it available privately in the authorised account and sends it to the verified contract email address. It is not a Link payment invoice. The DPA remains solely between the Customer and Doli. Doli remains the processor or subprocessor for the Customer Data identified in the DPA. This Addendum does not make Stripe or Link a party to the DPA or a subprocessor for Doli's content service, and it does not change the content processing described in the DPA and its Annexes. Stripe or Link processes order, payment, tax, and transaction data under the terms and privacy notices applicable to the web purchase. Doli processes its account, contract, entitlement, allowance, reconciliation, accounting, support, security, and legal evidence as an independent controller under Doli's privacy notices. 7. Changing the business plan A plan change offered through the Doli website changes the existing web subscription and does not create a second subscription. Before confirmation, Doli displays the target plan, amount due immediately, additional allowance, end of the current period, and price and allowance for the next billing period. Only the subscribing account may confirm a change on the Customer's behalf. For an upgrade, the additional payment is the full difference between the two monthly plan prices. It is not reduced according to the days remaining. After successful payment is confirmed, the allowance increases by the full difference between the plans' monthly minutes. Minutes already used and the start and end of the current period remain unchanged. The additional minutes expire at the end of that current period; the change does not start a new month. The larger plan's price and allowance apply from the next period. A downgrade is scheduled for the next billing period. The already paid period remains unchanged, and scheduling the downgrade creates no credit for that period. A Doli-scheduled change that has not yet taken effect can be withdrawn through the available management route. This does not cancel the subscription. An open, cancelled, or failed additional payment activates no extra allowance. Further changes may be blocked while a previous change remains unresolved. Existing cancellations or other scheduled changes are not removed without express confirmation. Doli retains the original contract evidence and the separate plan-change evidence. The unchanged DPA continues to apply; a change in the minute allowance alone does not require acceptance of the same DPA again. 8. Term and final provisions The Doli service contract is formed under Section 3 and runs according to the selected plan. An effective cancellation stops renewal under the applicable terms but does not necessarily end the already paid service period. Missing, withdrawn, or reversed payment or entitlement evidence may cause access to be blocked under the Business Terms. Mandatory rights and obligations remain unaffected. Pay-as-you-go terms for business customers Version: 1.1 This English version is provided for convenience. The German version controls. 1. Scope and setup These terms supplement the Business Terms, DPA and Annexes, and web terms identified in the acceptance record for Doli's business usage plan. This addendum takes priority for conflicting price, minute-package, activation or plan-change provisions concerning this usage plan. The agreement is concluded exclusively through the Doli website by a person authorized to bind the Customer; that person need not own the business. By expressly accepting the displayed documents and submitting the binding usage-plan setup, the Customer makes its offer. Doli accepts by confirming successful setup and enabling service. Technical access requires server verification of payment-provider evidence bound to that setup. A browser return alone is insufficient. 2. Price and monthly billing The price is EUR 0.05 net per minute, equivalent to EUR 3.00 net per hour, plus any applicable VAT. There is no base fee or fixed monthly minute package. The new price applies from the change confirmed in the account; previously recorded usage and completed bills are not retrospectively repriced. Usage is recorded to the second. The exact net rate is 1/12 of a cent per second. Only the aggregate net amount for the monthly billing period is rounded once to euro cents; individual conversations are not separately rounded up to a cent amount. Billing takes place monthly in arrears. Tax treatment and any VAT are shown on the bill. For live interpretation and live subtitles, active session time includes translation and playback; pauses count while the session remains active. Ending the session stops further time recording. Other features use the displayed Doli usage units: voice messages by duration rounded up to whole seconds, at least one second; text messages five seconds per started 50 characters; document pages 30 seconds each; reply drafts 30 seconds each. Clearly failed media requests are not billed as successfully consumed usage; uncertain outcomes are reviewed. 3. One-time starter minutes A newly established business account receives 30 starter minutes once for the entire team. They are used before paid usage and are not renewed per employee, device or billing month. Re-setup or cancellation does not reset used starter minutes. Personal free allowances are not additionally transferred to the business account. There is no additional time-limited trial plan. The existing free Doli app remains independently available within its existing free offering. 4. Optional monthly limit Doli imposes no general spending cap. Without a self-selected limit, authorized paid usage continues on a usage basis. The owner of the billing Doli account may set, change or remove a voluntary monthly limit in net euros. VAT is not included in that net limit. A limit of EUR 0 pauses paid usage; no limit means no voluntary spending restriction. The billing account may additionally set a separate net limit for each paired device. A default device limit applies to newly paired devices; applying it to existing devices requires an explicit choice. Individual settings are not silently overwritten. Each limit applies per monthly billing period of the business account, not as one shared budget for all devices. An optional overall limit remains effective in addition. For a positive configured limit, 80-percent and 100-percent notifications are provided to the recorded contract address. Both email thresholds can be disabled separately in account settings. At 100 percent, further paid usage of the affected device is blocked until authorization is possible again within the applicable limits. An overall limit can block all paid usage. Correctly recorded usage already consumed remains billable. Email settings, sending and receipt are not prerequisites for the block. Starter minutes are used before paid usage. The device overview displays the limit status independently of email notifications. 5. Team and account management The billing account manages shared usage, payment and the voluntary limit. Employees and other authorized users use their own Doli accounts and access the business account's authorization through permitted paired devices. Credentials are not shared. Pairing does not make employees purchasers or automatically appoint them as representatives. The billing account may pair authorized devices using a short-lived code or a supported QR code and may unpair them again. Unpairing ends further access to the authorization; recorded usage remains. Pairing the same device installation again does not reset its usage during the current billing period. The billing account's own usage is displayed separately from paired employee devices. The person authorized to represent the Customer when concluding the agreement and the billing-account owner may be different people. Account ownership and limit management do not replace the required authority to represent the Customer. 6. Ending the plan and final billing The usage plan may be ended through the provided account-management route at the end of the confirmed billing period. Recorded usage is included in the final bill. Cancellation does not erase usage entries or previously used starter credit. Missing payment authorization or a failed payment may block further paid usage. 7. Privacy and devices Doli processes metadata required for setup, shared usage, usage billing, limit management, notifications and contract evidence under its privacy notice. The DPA and Annexes govern conversation content. The service includes no commitment to zero data retention, exclusively EU model processing or professional secrecy under section 203 of the German Criminal Code. No such supplementary agreement has been concluded. Doli devices are not currently for sale. The usage plan includes no device purchase.
